Terms and Conditions

1. Acceptance of Terms

By accessing and using the services provided by OÜ Hansab IT Solutions ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

3. Services

3.1 Service Description

We provide the following IT services:

• Software development and computer programming
• IT management and computer object management
• System integration and consulting services
• Cloud solutions and infrastructure management
• Mobile application development
• Cybersecurity services

3.2 Service Delivery

All services will be delivered according to the specifications outlined in individual project agreements or statements of work. Delivery timelines and milestones will be mutually agreed upon before project commencement.

4. Client Obligations

The Client agrees to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with our team and provide timely feedback
• Make timely payments according to agreed terms
• Provide necessary access to systems and data as required
• Comply with all applicable laws and regulations
• Not use our services for illegal or unauthorized purposes

5. Payment Terms

5.1 Pricing

Service fees will be specified in individual project agreements. All prices are quoted in Euros (EUR) unless otherwise specified.

5.2 Payment Schedule

Payment terms are typically:

• 50% upon project initiation
• 50% upon project completion
• For larger projects, milestone-based payments may be arranged
• Monthly retainer fees for ongoing services

5.3 Late Payments

Late payments may incur interest charges of 1% per month. Services may be suspended for accounts overdue by more than 30 days.

6. Intellectual Property

6.1 Client IP

All intellectual property provided by the Client remains the property of the Client.

6.2 Developed IP

Unless otherwise agreed in writing, intellectual property developed specifically for the Client during the engagement will be transferred to the Client upon full payment.

6.3 Company IP

Our pre-existing intellectual property, methodologies, and general knowledge remain our property.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of our business relationship. This obligation continues for 5 years after the termination of services.

8. Data Protection and Privacy

We are committed to protecting your personal data in accordance with GDPR and Estonian data protection laws. Please refer to our Privacy Policy for detailed information about how we handle your data.

9. Limitation of Liability

9.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care. However, we do not guarantee that our services will be error-free or meet all Client requirements.

9.2 Liability Limitations

Our total liability for any claims arising from our services shall not exceed the total amount paid by the Client for the specific services giving rise to the claim. We shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party actions
• Damages exceeding the fees paid for the relevant services

10. Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, or technical failures.

11. Termination

11.1 Termination by Either Party

Either party may terminate services with 30 days written notice. Ongoing projects will be completed or transitioned as mutually agreed.

11.2 Termination for Cause

Either party may terminate immediately for material breach, insolvency, or failure to make payments.

11.3 Effects of Termination

Upon termination:

• All outstanding invoices become immediately due
• Each party will return confidential information
• Client will receive completed work products upon payment

12. Warranties and Disclaimers

We provide our services "as is" and disclaim all warranties except those expressly stated in our agreements. We do not warrant that:

• Services will be uninterrupted or error-free
• All security vulnerabilities will be prevented
• Software will be compatible with all systems
• Third-party services will remain available

13. Indemnification

Client agrees to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Client's use of our services in violation of these terms
• Infringement of third-party rights by Client's content or data
• Client's breach of applicable laws or regulations

14. Governing Law and Dispute Resolution

14.1 Governing Law

These terms are governed by the laws of the Republic of Estonia.

14.2 Dispute Resolution

Any disputes will be resolved through:

1. Good faith negotiations between the parties
2. Mediation, if negotiations fail
3. Estonian courts, if mediation is unsuccessful

15. Modifications

We may update these terms from time to time. Significant changes will be communicated to clients with 30 days notice. Continued use of our services constitutes acceptance of modified terms.

16. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These terms, together with any signed agreements or statements of work, constitute the entire agreement between the parties and supersede all prior understandings.
